Objective of the company defines the scope of area within which a company can operates it business. The specific objective that that company is carrying out is specified in registration documents of Ministry of commerce and Revenue department as well. A company in any time of the year can amend or make addition to its list of objectives.
The scope of the objective of has to be list on the work permit of foreigner as well and subject to license application from the local government agency as well. Some objective related to specific provision under Thai law may require you to get the approval from ministry first before adding the objective. E.g. Objective related to tourism business, recruitment and so on.
Whether it is removal or modification of current objective or addition on a new one, to file for the change the company has to call for shareholder meeting.
Newspaper announcement in local newspaper has to be done at least 14 days prior to the meeting date and invitation letter to each shareholder has to be sent out to call for a meeting. Shareholder meeting should pass resolution for the change.
The application for the change can be submitted at Department of business development within 14b days from the date of shareholding meeting. After DBD approves and issues with certified documents with requested amendment. Other government agency such as revenue department, social fund, labor department has to be requested for change as well .
For the amend at DBD we will be requiring
- Specific objective/s that needs to be added or changed
- Company affidavit
- shareholder list with detail address of each shareholder
- Copy of ID card of authorized director.
- Power of attorney
For the amend at revenue department we will be requiring
- Copy Vat Certificate (Por Por 20)
- Copy of First Vat registration (Por Por 01 and 01.1)
- Company affidavit update with new objective
- Copy of ID card and house registration or passport of director
- Power of attorney
For the change in social fund office
- Copy of ID card or passport of authorized director
- Updated company affidavit
- Power of attorney.
