
Any sort of change in directorship of the company is governed by Civil and Commercial code of Thailand.
The company might have existing director leaving the company or new entrant coming in as a director or both situation can happen at the same time.
The director dismissal can occur if
- Resignation
- Decision from shareholders passed by shareholder meeting through resolution
- Tenure completed
In either case any change to directorship of the company has to be informed to relevant government agency.
The outgoing director has to tender his resignation to the company. The shareholder meeting has to be called and newspaper announcement in local newspaper has to be done 7 days before the date of meeting. Invitation has to be sent to each shareholder for shareholder meeting and resolution has to be passed by the meeting. Then application of amendment in directorship pf the company can be submitted to Department of Business Development within 14days from the date of shareholder meeting. The paperwork should be sign by existing director or outgoing director.
Following documents are required to prepare the documents
- Copy of Id card if Thai national or copy of passport of new director if foreigner
- Copy of ID card if Thai national or copy of passport of existing director if foreigner
- Copy of company affidavit along with shareholder list
- Instruction regarding signatory power (if any)
